1. Introduction:

START EXPRESS LIMITED (HE 138548), hereinafter referred as the “Company” or “Taxi100” or “We”, is a private Company registered under the Cyprus Registrar of Companies with registered address at Nicosia, 35 Panagias Tinou Street, apartment 303, Strovolos.

START EXPRESS LIMITED is the owner of the business under the name “Taxi100” with working address Strovolos Avenue 120Z, Block A, 2042 Strovolos. Taxi100 offers the Taxi100 software application, which facilitates the booking and payment of taxi services through the Taxi100 app. This document outlines the terms and conditions that apply to drivers (“you”) who utilize the Taxi100 app to provide taxi services. By using the Taxi100 app, you agree to adhere to these terms and conditions.

  • Purpose of the Taxi100 App:

The Taxi100 app is designed to empower taxi drivers with greater control and ownership over their work, enabling effective communication with passengers and facilitating booking and payment processes. However, your use of the Taxi100 app and your behavior as a driver are your own responsibility.

  • Level of Services:

Basic Requirements for Taxi100 Drivers:

  • Be punctual; if you’re running late, inform the passenger.
  • Always maintain a friendly, polite, and respectful demeanour towards passengers from the beginning of communication through the final destination.
  • Ensure your vehicle is well-maintained both internally and externally.
  • Encourage passengers to provide feedback on their experience.
  • Greet passengers with a smile and offer assistance with loading and unloading luggage.
  • Prioritize the safety of passengers, yourself, and others on the road.
  • Stay alert and follow traffic regulations.
  • Ensure all passengers wear safety belts.
  • Avoid phone use while driving unless using a hands-free device.
  • Drive carefully and calmly, taking breaks when needed.
  • Maintain a clean and tidy appearance and car for each route.
  • Wear clean and decent attire.
  • Regularly clean your vehicle.

Prohibited Actions:

Certain behaviors are not allowed during taxi services, including:

  • Disruptive behavior, inappropriate jokes, or flirting.
  • Smoking inside the vehicle.
  • Holding a phone while driving.
  • Playing loud music.
  • Driving under the influence of alcohol or illegal substances.
  • Insinuations of tipping passengers.
  • Demanding money for forgotten belongings.
  • Using the Taxi100 App:

4.1 To use the Taxi100 Service, you must be a licensed taxi driver and provide necessary information for registration, including:

  • Professional driving license approved in the Republic of Cyprus,
  • Taxi or minibus driver’s license (category E),
  • Third party liability insurance,
  • M.O.T.
  • Compliance with all legal guidelines set by the Republic of Cyprus or regulatory authorities.

4.2 You agree and confirm that the information you provide to Taxi100 is accurate and complete. You agree not to misuse the Taxi100 brand or the Application for illegal purposes or activities that harm the app’s effectiveness or reputation.

4.3 You agree and confirm that Taxi100 holds no responsibility for passengers’ behavior. The contractual relationship for transportation services is between you and the passenger. You are prohibited from utilizing the Taxi100 brand or the App for unlawful purposes. This includes refraining from using it in any manner that disrupts, harms, or diminishes the effectiveness of the Taxi100 App, leading to potential damage to our reputation. It is also strictly forbidden to use the App to unlawfully access or make attempts to access other users’ accounts, whether they are passengers or drivers.

4.4 You agree and confirm that engaging in any form of intrusion or attempting to breach security systems of the Company is likewise prohibited. The distribution of content that is defamatory, obscene, or has the potential to incite harassment, threats, or abuse directed at individuals or groups based on attributes such as religion, gender, sexual orientation, race, nationality, age, or disability is against our terms. Additionally, you are not allowed to leverage the App for advertising or promoting third-party entities, or your personal products or services, except for driving services as part of the regular usage of the Taxi100 App.

4.5 You agree and confirm that you adhere to all relevant laws and assume the responsibility for offering taxi passenger services. This encompasses adhering to safety regulations concerning mobile device usage while driving, observing speed limits, and similar obligations. It is vital to take accountability for complying with the tax regulations in your country, ensuring timely submission of fees to the government. Please note that Taxi100 holds no responsibility for the withholding or payment of taxes on your behalf.

4.6 You agree and confirm that you are obligated to indemnify and thoroughly protect Taxi100 from any claims or legal actions initiated against us by any third party due to your violation of these Terms and Conditions. This includes situations where your actions or conduct directly or indirectly result in breaches of the stipulated terms. Furthermore, you agree to assume full financial responsibility for any damages, losses, costs, or liabilities incurred by Taxi100 as a consequence of such claims or legal proceedings. This indemnification encompasses legal expenses, settlement costs, and any other relevant financial burdens incurred in defense or resolution. Your commitment to this indemnity provision ensures that Taxi100 is safeguarded and insulated from the repercussions of breaches attributable to your actions or omissions while using our services.

4.7 You agree and confirm that it is explicitly acknowledged that we bear no responsibility for the behavior, actions, or lack thereof exhibited by passengers. It is important to recognize that any established contractual arrangement governing the rendering of taxi services exists solely between you and the passenger; this association is independent of Taxi100. Our role centers on furnishing a platform that establishes a connection between transport service providers and passengers, streamlining the process of service provision and payment facilitation. In this capacity, Taxi100 functions exclusively as an intermediary, prioritizing seamless interactions and transactions while refraining from assuming any substantive role in the service agreement itself. This design ensures a clear demarcation of responsibilities, with the provision of transportation services and the associated contractual dynamics falling squarely within your purview as a service provider, distinct from Taxi100’s role as a facilitator of this interaction.

  • Payment Terms:

5.1 By continuing to use the Taxi100 app, you acknowledge and agree to the app’s role in expediting payments between passengers and yourself, ensuring a smooth financial transaction process. It’s important to understand that once a ride is completed, you will receive the payment for the service provided, with the deduction of the applicable commission fee. This commission fee represents a fair and reasonable consideration for the platform’s services in connecting you with passengers and streamlining the payment procedure.

5.2. Furthermore, this payment mechanism is structured to simplify the transaction process and enhance the convenience of both passengers and service providers. It fosters transparency by promptly calculating the commission and clearly outlining the net payment due to you. This arrangement, which facilitates secure and efficient transactions, underscores our commitment to facilitating a seamless experience for all parties involved in the service exchange.

  • Preventing Payment Fraud:

6.1 You agree to cooperate with and support Taxi100, including providing relevant information, in the event of apparent disputes in connection with any transaction.

6.2 You acknowledge that Taxi100 does not provide payment protection or guarantees in relation to transactions with passengers. This means that you may bear the risk in the event that a transaction turns out to be fraudulent or unauthorized, particularly where Taxi100 determines that you had not taken sufficient steps to prevent such fraud.

6.3 You acknowledge that although Taxi100 requires Passengers to enter contact details and a payment method upon registration, Taxi100 is unable to verify Passengers’ identity. Taxi100 relies on you to identify and report suspicious activity and potential payment fraud.

6.4 You agree to terminate any work, not accept payment through the Application, and to immediately notify the Taxi100 representative by a telephone call in the event that any Passenger behaves suspiciously.

6.5 While Taxi100 collects passenger contact details and payment methods, you’re responsible for verifying passenger identity during the service to detect potential fraud.

6.6 You agree that you will only accept payments through the App for a passengers who have an account and are traveling in your taxi.

6.7 Taxi100 can postpone processing transactions if there are reasonable suspicions of fraud or violation of terms and conditions.

  • Termination:

7.1 We retain the prerogative to suspend, limit, or revoke your access to the Taxi100 App at any juncture, without prior notice, should we hold reasonable grounds to suspect your violation of any clauses within these Terms. Please remember that our ability to suspend access does not limit our broader authority to take appropriate actions that we believe are necessary to protect both our rights and the rights of others.

7.2 You possess the autonomy to discontinue our partnership and terminate these Terms at your discretion. This can be seamlessly executed by closing your account in adherence to the guidelines furnished within the Taxi100 App. As a result, we offer a straightforward process that allows you to conclude this partnership efficiently whenever you find it fitting.

  • Disclaimer:

 8.1 We are not responsible for:

  1. the actions or oversights of passengers or other drivers,
  2. losses caused by a violation of these Terms,
  3. the loss of income, profits, reputation, data, or information, or
  4. the inability to provide service via the Taxi100 App or fulfil any obligations from these Terms when the failure is due to circumstances beyond our control (like network or third-party software issues).
  • Privacy Policy:

9.1 By registering as a driver, you acknowledge and consent to the collection of your personal data, including your name, location, mobile phone number, vehicle details, financial information (such as your bank account details), address email etc.

9.2 This personal data is collected and may be used to register and manage your account as a driver with Taxi100, provide you with access to the Taxi100 platform, connect you with potential passengers and jobs, process payments to you, communicating with you about any queries or complaints, our internal business purposes (such as for accounting or administrative purposes), if required or permitted by law and for the purposes of complying with our legal or regulatory obligations; or for any other purposes reasonably expected by you.

9.3 From time to time, we may disclose your personal data to our staff and to third parties, for example: to passengers in order to connect you with potential passengers and jobs, to third parties, agents, contractors or suppliers who help us provide the Application Taxi100 (for example, payment processors, web hosting service providers, cloud storage service providers, Customer Service), law enforcement authorities, agencies or regulators in order to comply with our legal and regulatory obligations, and to other platforms, to which you have requested the connection from Taxi100.

  1. Dispute Resolution

You can submit complaints or disputes regarding Taxi100 services to info@taxi100.com.cy or by calling at 22-100100/ 99-100100.

In case of disputes between you and the Company, the resolution process shall follow these steps. Firstly, both Parties commit to engage in open discussions in pursuit of an amicable resolution. If required, mediation or arbitration will be attempted using a neutral mediator/arbitrator. Should mediation or arbitration not achieve a satisfactory outcome, the Courts of the Republic of Cyprus will handle the dispute. The governing law for these proceedings shall be determined by the jurisdiction in which the Company operates. The costs associated with mediation and arbitration shall be shared equally unless otherwise mutually decided. By utilizing the platform, Drivers explicitly consent to this dispute resolution procedure.

  1. General Terms

11.1 Independent Contractor Relationship: The connection between the involved parties within this agreement is that of independent contractors. This agreement does not establish an employment contract and does not give rise to an employer-employee association between the parties. No joint venture, partnership, or agency affiliation exists between the parties.

11.2 Assignment: These Terms pertain specifically to you and are non-transferable. You are not allowed to delegate your rights or responsibilities outlined in these Terms to any third party. Nevertheless, you recognize and consent that we hold the right to transfer our rights, obligations, or delegate our commitments under these Terms to a different legal entity, ensuring that the quality of service you receive remains unaffected. However, you retain the ability to terminate your agreement with us at your discretion.

11.3 No Relinquishment of Claims: Any postponement on our part in utilizing a right as stipulated in these Terms shall not signify a relinquishment of said right. Should you violate these Terms and we refrain from taking immediate action, it does not negate our authority to take action in any future scenario involving your breach of these Terms.

11.4 Severability: If any provision of these Terms is invalidated or deemed ineffective by a court or regulatory authority, the remaining provisions will continue to be valid and enforceable.

11.5 Modification: These Terms may undergo amendments periodically to accommodate changes to the Taxi100 App. In such cases, we will furnish you with appropriate notice, either via email or within the Taxi100 App. Your continued utilization of the App will signify your acceptance of these alterations and your agreement to abide by the revised Terms.

11.6 Notices: Notices from us will be delivered electronically to your registered email or phone.

11.7 Applicable Law: These Terms are governed by the laws of the Republic of Cyprus.
